Dotazy kladl redaktor Martin Shabu, iDNES.cz:

1. Věděla UK při výběru dodavatele zakázky na stavbu Kampus Albertov, že odpovědný projektový manažer Ing. Miroslav Dvořák byl v minulosti majitelem firmy Geosan Group (ičo 28169522, dříve Avara), že pracoval jako ředitel v Geosan Group (IČ 25671464, dnes Dob Construction) a že pro referenci uvádí v životopisech pana Ing. Luďka Kostku, předsedu představenstva Geosan Group (IČ 28169522, dříve Avara), jež je významným členem stavebního konsorcia Kampus Albertov?

UK velmi pečlivě prověřuje možný střet zájmů mezi uchazeči/dodavateli a svými zaměstnanci v případě realizace jakýchkoliv veřejných zakázek (dále jen VZ). Zaměstnanci podepisují čestná prohlášení o neexistenci střetu zájmů a současně UK využívá pro další prověření jak veřejně dostupné informace (např. Veřejný rejstřík), tak nástroje Datlab, resp. Cribis.

Ing. Dvořák nikdy nebyl majitelem ani statutárním orgánem firmy Geosan Group a.s. (IČ 281 69 522).

Informace o tom, zda byl řadový zaměstnanec zaměstnavatele majitelem či statutárním orgánem nějaké společnosti si zaměstnavatel neprověřuje. Svoje pracovní působení v letech 2004–2006 u firmy Geosan Group a.s. (IČ 256 71 464) měl uvedeno ve svém CV, které doložil v rámci výběrového řízení na pozici na Univerzitě Karlově v roce 2014.

Ing. Dvořák byl od 18. 1. 2008 jediným akcionářem (do 11. 6. 2015), předsedou dozorčí rady byl od 18. 1. 2008 (do 11. 6. 2013), členem dozorčí rady byl od 11. 6. 2013 (do 24. 2. 2015) a jediným členem představenstva společnosti AVARA a.s. byl od 11.6.2013 (do 11.5.2015), jejíž IČ bylo 281 69 522. Firmu AVARA a.s. prodal dle notářského zápisu dne 27. 4. 2015 firmě GEOSAN INVESTIČNÍ a.s. (IČ 041 04 838).

Ze sbírky listin je možné prokázat, že společnost nevykazovala žádnou činnost, že byla Ing. Dvořákem pořízena jako tzv. ready made, tj. společnost, která je založená pro okamžitý začátek podnikání, ke kterému však nedošlo.  

Interní předpisy zaměstnavatele nezakazují řadovým zaměstnancům, aby vlastnili společnosti či působili ve statutárních orgánech společností, jejichž předmět podnikání nesouvisí s hlavní činností Univerzity Karlovy (dále jen UK), tj. vzděláváním.

2. Podle dostupných informací (odpověď UK na žádost 106/1999 zveřejněná pod bodem 7 v roce 2024 https://cuni.cz/UK-13316.html) připravoval pan Ing. Dvořák zadávací dokumentaci ke Kempus Albertov včetně stanoveních technických požadavků, dále pak zajišťoval komunikaci s uchazeči i organizaci veřejné zakázky na zhotovitele. Bylo to podle vás v pořádku?

Ing. Dvořák se podílel na přípravě technické části VZ na zhotovitele stavby, nikoliv na komunikaci s uchazeči či organizaci veřejné zakázky, jak je uvedeno již v bodu 7 odpovědí UK na žádost 106/1999. Ing. Dvořák byl zaměstnancem zadavatele od 1. 7. 2014, původně na dobu určitou do 31. 12. 2014 jako „Manažer projektu investiční akce Výstavba Kampusu Albertov – Biocentrum, Globcentrum“.

Protože se osvědčil, byla mu doba určitá opakovaně prodloužena, dle doby trvání projektu; nyní je platná do 31. 12. 2026. Co se týká komunikace s uchazeči, podílel se Ing. Dvořák na technické stránce odpovědí na dotazy.

Zadávací dokumentace byla připravována v roce 2022. Opět považujeme za důležité zdůraznit, že UK velmi pečlivě prověřuje možný střet zájmů mezi uchazeči/dodavateli a svými zaměstnanci v případě realizace jakýchkoliv veřejných zakázek (dále jen VZ). Zaměstnanci podepisují čestná prohlášení o neexistenci střetu zájmů a současně UK využívá pro další prověření jak veřejně dostupné informace (např. Veřejný rejstřík), tak nástroje Datlab, resp. Cribis. I ve vazbě na tyto skutečnosti a na vše výše uvedené nebyla celá věc vyhodnocena jako střet zájmů.

3. Neocitl se pan Ing. Dvořák díky výše uvedenému ve střetu zájmů?

4. Kdo zasedal v hodnotící komisi na zhotovitele Kampus Albertov (prosím o uvedení jména a funkce daného člena)?

Pokud jde o pana Ing. Dvořáka, nebyl členem hodnoticí komise. Ing. Dvořák ohlásil možný střet zájmů ihned po seznámení se se Seznamem dodavatelů, poddodavatelů, členů jejich orgánů a skutečných majitelů (dále jen Seznam), kdy zjistil, že jedním z poddodavatelů (projektantů, kteří měli zpracovat projekt skutečného provedení stavby vč. modelu) je zaměstnavatel jeho dospělé dcery. Pro úplnost sdělujeme, že nešlo o vítězného uchazeče. Oznámení bylo zadavateli předáno osobně před zahájením prvního jednání Komise pro posouzení a hodnocení nabídek, tj. dne 5. 12. 2023, kdy byli všichni členové hodnotící komise seznámeni se Seznamem a poté podepisovali Čestné prohlášení ke střetu zájmů a nepodjatosti. Ing. Dvořák po předání Oznámení potenciálního střetu zájmů opustil místo jednání Komise a dále se na posouzení a hodnocení nabídek nijak nepodílel. Současně se Ing. Dvořák až do vyhlášení výsledků nezúčastnil jakýmkoliv způsobem na činnostech, souvisejících s celým procesem hodnocení.

5. Nakolik jste k dnešnímu dni ocenili vícepráce spojené se stavbou Kampus Albertov?

V rámci dodatků č. 1–5 ke Smlouvě o dílo se jedná o 84.992.796,65 Kč bez DPH.

6. Prověříte danou zakázku z pohledu možných vad v procesu jejího zadání?

UK v každém kroku dané veřejné zakázky postupovala s péčí řádného hospodáře a ve vazbě na veškerou metodickou dokumentaci Národního plánu obnovy a MŠMT. Zadávací dokumentace a dokumentace průběhu celé veřejné zakázky byly podrobeny také kontrole poskytovatelem dotace, přičemž nebyly zjištěny žádné závady.

Commentary of Charles University of 12 March 2025 on the topic Campus Albertov

Questions asked by editor Martin Shabu, iDNES.cz:

1. When selecting the contractor for the construction of the Albertov Campus, did the University know that the responsible project manager Ing. Miroslav Dvořák was previously the owner of the Geosan Group (i.e. 28169522, formerly Avara), that he worked as a director at Geosan Group (i.e. 25671464, now Dob Construction) and that for reference in the CVs of Ing. Luďek Kostka, Chairman of the Board of Directors of Geosan Group (registration number 28169522, formerly Avara), which is an important member of the construction consortium Kampus Albertov?

The UK very carefully examines possible conflicts of interest between bidders/contractors and its employees in the case of any public procurement (hereinafter referred to as PP). Employees sign affidavits of no conflict of interest and at the same time the UK uses both publicly available information (e.g. Public Register) and Datlab or Cribis tools for further screening.

Ing. Dvořák has never been an owner or statutory body of Geosan Group a.s. (ID No. 281 69 522).

The employer does not verify whether a regular employee of the employer was the owner or statutory body of a company. His employment in 2004-2006 with Geosan Group a.s. (ID No 256 71 464) was stated in his CV, which he submitted in the context of the selection procedure for the position at Charles University in 2014.

Ing. Dvořák was the sole shareholder from 18 January 2008 (until 11 June 2015), Chairman of the Supervisory Board from 18 January 2008 (until 11 June 2013), member of the Supervisory Board from 11 June 2013 (until 24 February 2013), member of the Supervisory Board from 11 June 2013 (until 24 February 2015). He was the sole member of the board of directors of AVARA a.s. from 11.6.2013 (until 11. 5. 2015), whose company ID number was 281 69 522. According to the notarial deed of 27.4.2015, he sold the company AVARA a.s. to GEOSAN INVESTIČNÍ a.s. (ID number 041 04 838).

From the collection of documents it can be shown that the company did not show any activity, that it was Ing. Dvořák acquired as a so-called ready-made company, i.e. a company established for the immediate start of business, which did not occur.

The employer's internal regulations do not prohibit ordinary employees from owning companies or serving on the statutory bodies of companies whose objects are not related to the main activity of Charles University (hereinafter referred to as CU), i.e. education.

2. According to the available information (UK's response to the 106/1999 request published under item 7 in 2024 https://cuni.cz/UK-13316.html), Mr. Ing. Dvořák prepared the tender documents for the Albertov Campus, including the technical requirements, and he also handled the communication with the bidders and the organisation of the tender for the contractor. In your opinion, was that OK?

Ing. Dvořák was involved in the preparation of the technical part of the tender for the contractor, not in the communication with the bidders or the organisation of the tender, as stated in point 7 of the UK's response to the 106/1999 request. Dvořák has been employed by the contracting authority since 1 July 2014, initially for a fixed term until 31 December 2014 as "Project Manager for the investment project Construction of the Albertov Campus - Biocentre, Globcentre".

As he proved his worth, the fixed term was repeatedly extended, depending on the duration of the project; it is now valid until 31.12. 2026. As regards communication with the bidders, Ing. Dvořák was involved in the technical side of answering questions.

The tender documentation was prepared in 2022. Again, we consider it important to stress that the UK very carefully checks for possible conflicts of interest between bidders/suppliers and its employees in the case of any public procurement (hereinafter referred to as PP). Employees sign affidavits of no conflict of interest and at the same time the UK uses both publicly available information (e.g. Public Register) and Datlab or Cribis tools for further screening. Even in relation to these facts and all of the above, the whole matter was not assessed as a conflict of interest.

3. Did Mr Ing. Dvořák in a conflict of interest due to the above?

4. Who sat on the evaluation committee for the contractor for the Albertov Campus (please state the name and position of the member)?

Regarding Mr. Ing. Dvořák, he was not a member of the evaluation committee. Ing. Dvořák reported a possible conflict of interest immediately after he became familiar with the List of Contractors, Subcontractors, Members of their Bodies and Beneficial Owners (hereinafter referred to as the List), when he found out that one of the subcontractors (designers who were to prepare the actual design of the building including the model) was the employer of his adult daughter. For completeness, we advise that this was not the successful bidder. The notification was handed over to the Contracting Authority in person before the first meeting of the Bid Evaluation Committee, i.e. on 5.12. 2023, when all members of the Evaluation Committee were acquainted with the List and then signed the Affidavit of Conflict of Interest and Non-bias. Ing. Dvořák left the Commission's meeting place after being handed the Notice of Potential Conflict of Interest and did not participate in the assessment and evaluation of the bids. At the same time, Ing. Dvořák did not participate in any way in activities related to the entire evaluation process until the announcement of the results.

5. To what extent have you appreciated the extra works related to the construction of the Albertov Campus to date?

Within the framework of the Addenda No. 1-5 to the Contract for Works, the amount of CZK 84,992,796.65 excluding VAT.

6. Will you examine the contract in question for possible defects in the award process?

The UK has acted with due care in every step of the procurement process and in relation to all the methodological documentation of the National Recovery Plan and the Ministry of Education. The tender documentation and the documentation of the entire procurement process were also audited by the funder and no defects were found.
